End User License Agreement

1. Acceptance of this Agreement

By installing, copying, or otherwise using Seqtrix (the “Software”), you (the “User”) agree to be bound by the terms of this End User License Agreement (“EULA”). If you do not agree, do not install or use the Software. Continued use of the Software after a material change to this EULA constitutes acceptance of the change.

This EULA governs the desktop application only. Use of seqtrix.com is governed by the Terms of Service. Treatment of personal data by both surfaces is governed by the Privacy Policy.

2. License grant

Seqtrix grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on each personal computer or device that you own or control, solely for your personal or internal business use, subject to the restrictions in Section 3 and the entitlements applicable to your subscription tier.

If you have an active paid subscription (Advanced or Pro), additional features unlock for the duration of the subscription per the Terms of Service. Cancellation, expiry, or downgrade returns the Software to the free (“Starter”) feature set automatically - your local data is not deleted but features that require a paid plan stop working.

Templates as licensed features. The Software ships with a library of pre-built automation templates (ready-to-run sequences such as “Morning standup prep”, “Quick folder backup”, etc.). Templates are bundled features of the Software, not separately licensed or purchased content. The set of templates available to you is determined by your subscription tier - Starter includes a small quick-start set, Advanced unlocks day-to-day workflow categories, and Pro unlocks every available template including specialised categories. You may customise any unlocked template inside the in-app visual editor for your own use, subject to the restrictions in Section 3.

3. Restrictions

You may not, and may not permit any third party to:

• Copy, modify, adapt, translate, port, or create derivative works of the Software, except as expressly permitted by applicable law that cannot be excluded by agreement;
• Reverse-engineer, disassemble, decompile, or otherwise attempt to derive the source code, structure, ideas, algorithms, or organisation of the Software;
• Remove, alter, or obscure any copyright, trademark, branding, watermark, version, cryptographic signature, or other proprietary notice on or in the Software or its installer;
• Bypass, disable, tamper with, or otherwise circumvent the Software's license-enforcement, subscription-tier, trial, fingerprint, signature-verification, or update mechanisms - including the Ed25519 entitlement-token verifier embedded in the Software;
• Use the Software to develop a product or service that is materially competitive with Seqtrix;
• Sublicense, lease, rent, sell, distribute, or otherwise transfer the Software or the right to use it to any third party;
• Use the Software to attempt to gain unauthorised access to, or to attack, harm, or disrupt, any computer system, network, or service, including any system operated by Seqtrix or its third-party infrastructure, hosting, or payment providers.

4. Subscription enforcement

Seqtrix uses a hybrid client/server enforcement model. The Software periodically contacts our servers to verify the active subscription tier and receives a cryptographically signed entitlement token that authorises access to paid features. When the Software is offline for an extended period (currently 24 hours), or when the token cannot be verified, paid features are automatically restricted to the free Starter tier until the next successful verification.

Tampering with, disabling, removing, replacing, or attempting to forge the entitlement-token verifier or the device fingerprint is a material breach of this EULA and may result in immediate termination of your license, suspension of your account, and forfeiture of any subscription fees paid for the relevant period.

5. Updates and auto-update consent

Seqtrix ships an auto-update mechanism. By installing the Software you consent to the Software automatically downloading and installing updates that we publish. Each update is cryptographically signed; the Software refuses to install an update whose signature does not verify against the public key embedded in the installed binary.

Updates may add, modify, or remove features, may change the user interface, may change the subscription enforcement mechanism described in Section 4, and may require you to re-accept this EULA. We will use reasonable efforts to avoid updates that materially reduce functionality without notice.

6. Local data and encryption

Files you encrypt using the Software are protected with AES-256-GCM authenticated encryption with unique per-file salts. The encryption keys are derived from passwords you provide and are never transmitted to or stored on Seqtrix servers. We have no ability to recover, reset, or decrypt your encrypted files, vaults, or password-locked items if you lose the password.

You acknowledge that secure deletion (DoD-spec wipe) and cryptographic locking are irreversible by design and that you are solely responsible for maintaining backups of any data you do not wish to lose.

7. Intellectual property

The Software is licensed, not sold. Seqtrix and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You retain all right, title, and interest in and to the sequences, templates, files, and other content you create using the Software.

“Seqtrix,” the Seqtrix logo, and related marks are trademarks of Seqtrix. Nothing in this EULA grants you any right to use them outside of ordinary fair-use references to the Software.

8. Beta and experimental features

From time to time the Software may include features designated as “beta,” “preview,” “experimental,” or similar. These features are provided as-is for evaluation, may be unstable, may change or be removed without notice, and are not covered by any service-level commitment.

9. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND FREEDOM FROM DEFECTS OR INTERRUPTION. SEQTRIX DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT DEFECTS WILL BE CORRECTED.

No advice or information, whether oral or written, obtained by you from Seqtrix or through the Software shall create any warranty not expressly stated in this EULA.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEQTRIX AND ITS LICENSORS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE - EVEN IF SEQTRIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SEQTRIX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SUBSCRIPTION TO THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR INR 1,000 (whichever is greater).

11. Termination

This EULA is effective until terminated. You may terminate it at any time by uninstalling the Software and ceasing all use. Seqtrix may terminate this EULA immediately if you breach Section 3 or Section 4 (restrictions or subscription enforcement). On termination, your license to use the Software ends; you must uninstall and destroy all copies. Sections 3, 6 (last sentence), 7, 9, 10, and 13 survive termination.

12. Export and sanctions

The Software contains cryptographic functionality. You represent that you are not located in, and are not a national or resident of, a country subject to a comprehensive embargo by the Government of India or the United States of America, and that you are not on any restricted-party list maintained by either government. You agree not to use, export, or re-export the Software in violation of any applicable laws or regulations.

13. Governing law

This EULA is governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or related to this EULA shall be resolved exclusively in the courts of Mumbai, Maharashtra, India.

14. Severability and entire agreement

If any provision of this EULA is held to be unenforceable, the remaining provisions remain in full effect. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Seqtrix regarding the Software, and supersedes all prior agreements or understandings.

15. Changes

We may update this EULA from time to time. Material changes will be flagged in the Software's in-app changelog and may require you to re-accept the EULA on next launch. The “Last updated” line at the top of this page reflects the most recent revision.
